These Terms of Use ("Terms") govern your use of SheDrives' mobile applications, websites, services, products, and platform (collectively, the "Platform").

By accessing or using the Platform, you agree to form a legally binding contract with SheDrives and accept these Terms. The company you are contracting with is SheDrives Pakistan (UG 41 Eden Tower Gulberg 3, Lahore, Pakistan).

By accessing, downloading, or using any part of the Platform, you agree to comply with and be bound by these Terms, as well as our Privacy Policy, Safety Guidelines, Non-Discrimination and Accessibility Policy, Payment Terms, Refund Policy, and Community Guidelines. If you do not agree to these Terms, you may not access or use the Platform.

We may update or modify these Terms at any time. Any changes will be effective upon posting on the Platform. Your continued use of the Platform after the posting of modifications constitutes your acceptance of the revised Terms.

In the event of any dispute arising from these Terms or your use of the Platform, you agree to resolve such disputes through binding arbitration, unless prohibited by local law. Any modification to these Terms does not create a renewed opportunity to opt out of arbitration if applicable.

We strive to make the Platform accessible to all users, regardless of ability. If you encounter any issues related to accessibility, please contact our support team for assistance.

Non-Discrimination and Zero Tolerance Policy

SheDrives is committed to providing a safe and inclusive environment for all users, including female and transgender passengers and drivers. Discrimination, harassment, or any behavior that violates our Zero Tolerance Policy will result in immediate termination of access to the Platform.

By using the SheDrives Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

Scope, Eligibility, and Modification of Terms

SheDrives is a technology platform that connects independent drivers with Passenger. SheDrives does not provide transportation, logistics, or any related services directly ("Services"). Decisions to offer or accept Services are made independently by users at their own discretion and risk. SheDrives does not direct or control drivers in their provision of these Services, and any feature or process provided to enhance the user experience is not indicative of an employment or agency relationship with any user.

These Terms do not override or impact the enforceability of any agreements that Passenger may have with drivers regarding the Services.

SheDrives acts as a platform linking independent third-party providers of transportation services ("Drivers") with their Passenger ("Passenger"). When a Passenger requests a ride or bike service, they propose a price for the Driver’s services. Drivers who see the request can either accept the offered price or make a counteroffer. Passenger are free to choose a Driver from the list of those who have shown interest in accepting the request. A separate agreement is formed between the Driver and the Passenger when the Passenger confirms the ride or service.

Passenger are responsible for paying the agreed-upon price to the Driver, which includes all associated charges (e.g., fees, tolls, taxes, etc.). SheDrives does not participate in or influence the financial settlement between the Driver and the Passenger.

SheDrives does not provide transportation or bike services directly.

SheDrives may modify any part of these Terms at any time. When changes are made, they will take effect on the "Last Updated" date noted at the top of this page. Continued use of the Platform after such notice will constitute acceptance of the updated Terms.

License Grant, Restrictions, and Intellectual Property

The SheDrives Platform contains content (such as designs, images, sounds, text, databases, software, and other materials) owned or licensed by SheDrives. This content is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. SheDrives and its licensors retain all rights, title, and interest in and to the Platform and its content. These Terms do not convey any ownership rights to you, and you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform on your personal device for personal, non-commercial use.

You may not:
(a) modify, reproduce, or create derivative works based on the Platform;
(b) reverse engineer or attempt to discover the source code of the Platform;
(c) frame, link to, or mirror any part of the Platform; or
(d) post, distribute, or reproduce any copyrighted material, trademarks, or other proprietary information without prior consent from SheDrives.

All rights not expressly granted to you are reserved by SheDrives and its licensors. Any unauthorized use of the Platform is prohibited.

Account Registration

To access the SheDrives Platform, you must create an account with us. To register, you must be at least 18 years old and have the authority to enter into a contract with us and use the Platform.

When creating an account, you must provide accurate and up-to-date information. SheDrives reserves the right to reject the use of any password, username, or email address for any reason, including those that are profane, offensive, inappropriate, or otherwise violate these Terms.

To prevent fraud, ensure your security, and comply with applicable laws, we will request information to confirm your identity when you create an account. We may also request updates and verification of your information from time to time.

SheDrives offers different types of accounts depending on whether you use the Platform as a Passenger or as a Driver. To create a Driver account, you must provide additional information and pass a verification process, which includes moderation by SheDrives and a background check by a third party. SheDrives may charge a non-refundable fee for this verification. The verification process may take an average of seven (7) days but could take longer due to the volume of applications. Drivers are responsible for providing accurate information; SheDrives is not liable for delays or inaccuracies in the verification process due to incorrect details provided by the Driver.

If you use the Platform in another country, you agree to be subject to SheDrives' Terms for that country.

You must promptly update your details if they change, including notifying us if your mobile number changes. You are not permitted to authorize others to use your account. You are solely responsible for maintaining the security of your account and login information. If you suspect that any third party knows your password or has accessed your account, please immediately notify us.

You may not sell, transfer, or assign your account or any rights associated with it. You agree to create only one
(1) unique registered account and to be the sole authorized user of that account. You are not permitted to create new or additional accounts if your original account is suspended or terminated by SheDrives. In any disputes regarding account creation or authenticity, SheDrives reserves the right to resolve such disputes as deemed appropriate.

By registering on the Platform, logging in, or accessing external third-party services through the Platform, you agree to allow such external parties to share relevant information with us, subject to their terms and policies. You also agree to allow SheDrives to share your registration information with third parties if necessary to complete the registration process.

User-Provided Content

You are responsible for any content, files, and images ("Content") you make available on the Platform. Your Content must comply with all applicable laws and must not violate anyone's rights. SheDrives does not undertake to review users’ Content and assumes no responsibility for it. You may not upload defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive material, as determined by SheDrives in its sole discretion. We reserve the right to remove or restrict access to any Content that we reasonably believe violates these Terms or causes harm to SheDrives, its users, or third parties.

While SheDrives does not claim ownership of your Content, by making it available on the Platform, you grant SheDrives a perpetual, irrevocable, worldwide, transferable, royalty-free, and non-exclusive license to use, reproduce, adapt, modify, translate, publish, publicly perform, display, or create derivative works from your Content for the purpose of operating, developing, and providing the Platform.

You may rate and provide feedback to Drivers or Passenger regarding the services you have received or provided. You must ensure that your reviews are true, fair, and accurate. If SheDrives determines that your review is untrue, unfair, inaccurate, offensive, or inappropriate, we may delete the review and/or deactivate your ability to post further reviews. SheDrives is not obligated to read, and may not read, each review.

Drivers

By providing services as a Driver on the SheDrives platform, you represent, warrant, and agree to the following:

Licensing and Authorization: You possess a valid driver’s license and all required permissions and authorizations to provide the services. You are medically fit to provide these services. If you stop holding the necessary licenses, approvals, qualifications, or certificates, you must immediately inform SheDrives. Your registration as a Driver may be temporarily or permanently revoked if you fail to maintain the required licenses and other qualifications.

Vehicle Ownership and Condition: You own, or have the legal right to operate, the vehicle you use to provide the services. The vehicle is in good operating condition, meets all statutory and industry safety standards, and complies with all applicable statutory and state department of motor vehicle requirements for a vehicle of its kind.

Vehicle Usage: You will only provide services using the vehicle that has been reported to SheDrives.

Passenger Policy: You will not permit anyone to accompany you in the vehicle while providing the services.

Sobriety and Safety: You will not provide services while under the influence of fatigue, alcohol, drugs, or otherwise engage in unsafe or illegal behavior while providing services.

Non-Discrimination: You will not discriminate against Passenger.

Driving Behavior: You agree not to engage in reckless behavior while driving, drive unsafely, or operate an unsafe vehicle.

Payment: You will not request any additional payment beyond the price agreed upon with the Passenger via the Platform.

Tax Responsibility: You are responsible for calculating, charging, and paying all applicable taxes as required by the respective legislation in your jurisdiction arising from the provision of services to Passenger.

Information Compliance: You will comply with reasonable requests from SheDrives to provide information in connection with the services and your use of the Platform.

Use of Information: You will not use information obtained via the Platform for any purpose unrelated to the provision of Driver’s services.

Legal Compliance: You will comply with all applicable laws related to anti-money laundering, sanctions, anti-corruption, anti-bribery, countering illegal trade, countering terrorist financing, prohibiting child or forced labor, and ensuring proper conduct. You will not take any action that may lead to a violation of such laws or encourage others to participate in such activities.

Policy Compliance: You will comply with SheDrives policies applicable in your country.

Safety Training: You must successfully complete compulsory safety training as part of your registration with SheDrives. Without completing this training, you will not be permitted to finalize your registration.

Compliance with Transportation Hubs and Government Agencies: You must comply with the requirements of airports, other transportation hubs, and government agencies. You must also ensure that your actions do not place SheDrives in breach of any laws and regulations.

Passenger and Driver Interactions

Each transportation or courier service provided by a Driver to a Passenger constitutes a separate agreement between those individuals. Drivers are responsible for offering services to Passenger, and Passenger are responsible for accepting those services. SheDrives does not employ Drivers as agents or employees and is not responsible for their actions or omissions.

As a user of the Platform, you are expected to treat other SheDrives users with respect. Communication with other users should be strictly related to the services being provided and should cease once the service is complete, unless it is to return a lost item. Any unnecessary communication may be considered harassment and could result in the suspension or termination of your account.

SheDrives enables communication between users through the Platform, including comments, in-app chat, or in-app calls (depending on location). We reserve the right to monitor and record your communications to ensure compliance with these Terms.

Where this functionality is available, you may contact other users via the mobile number provided in the app interface, subject to any mobile charges set by your carrier.

Payment Transactions

General Terms

Offer and Acceptance: Through the Platform, Passenger can propose a fare for a specific route or courier service. When a Driver accepts this offer, it forms a contract where the Driver will provide the service for the agreed price. Drivers can counter the offer with a new fare, and if the Passenger accepts this counteroffer, it forms a contract for the new fare.

Payment System: The SheDrives payment system allows Passenger to suggest a fare for a ride or courier service, and the request is confirmed only if both the Passenger and Driver agree on the price.

Account Information: Drivers and Passenger must provide and maintain valid credit/debit card information and bank account details in their SheDrives Account to request and accept services. Drivers must have a valid bank account to use the Platform and accept requests.

Payment Authorization: By providing your payment details, you authorize us or our payment processor to charge your designated payment method. Only valid payment methods specified by us may be used.

Insufficient Funds: If a Passenger has insufficient funds to complete a request, we may cancel the request at our discretion.

Recommended Price: SheDrives may provide a recommended price based on the time and area of the request. This is for informational purposes and does not bind Passenger or Drivers to that price.

Charges: Drivers and Passenger are responsible for paying all charges incurred through the Platform, which are in Pakistani Rupees (RS) and include applicable taxes.

Passenger Payment Terms

Authorization Hold: We may place a temporary authorization hold to verify the validity of a Passenger’s payment method. No money is debited, but funds are placed on hold. If your primary payment method is invalid, we may use a secondary payment method if available, or contact you. If the hold is canceled and payment is not processed, you must complete the payment again to continue using the Platform.

Service Charges: Using the Platform may result in charges for the agreed-upon price. Payments to Drivers are considered as direct payments from the Passenger. Payments are due immediately and will be facilitated using the payment method on your Account. Receipts or tax invoices are available through the Platform.

Tips: You may provide additional payment as a tip to a Driver, but it is not mandatory.

Waiting Fees: If a Driver waits for the Passenger beyond a certain time, a waiting fee will be added to the agreed price. Waiting fees are in favor of the Driver and are not income for SheDrives. Outstanding waiting fees must be paid before requesting new services. Individuals with disabilities can request a refund or waiver of waiting fees by contacting Support.

Cancellation or No-Show Fees: You may be charged a cancellation or no-show fee if you cancel after the Driver has waited at the pickup location or do not show up. Fees vary by location and will be shown before confirmation. Cancellation fees are in favor of the Driver and not income for SheDrives. If the cancellation is not due to your fault, you may be eligible for a refund. An Operational Fee may apply to the Cancellation Fee.

Airport and Transportation Hub Fees: Fees for rides originating from airports or transportation hubs are included in the quoted price and must be set in designated pick-up zones.

Tolls: Tolls for rides through toll roads are included in the quoted price. You may choose an alternative route if desired, in communication with the Driver.

Government Levies: Applicable government levies may be added to the ride or courier service and are included in the quoted price if mandated by the jurisdiction.

Refunds: Quoted prices and charges such as cancellation, waiting, and no-show fees are final and non-refundable unless determined by SheDrives's Refund Policy or required by law.

Driver Payment Terms

Electronic Wallet and Transfers: Payments for completed rides or courier services are maintained in an electronic wallet ("Wallet") within the Platform. Drivers can request transfers to their designated bank account or opt for automatic transfers. Accurate banking details are essential, and SheDrives is not responsible for issues resulting from inaccurate details or technical glitches. Without a verified bank account, earnings can only be received as specified.

Technical Glitches: If a Technical Glitch causes incorrect transactions to your Wallet, SheDrives may correct these transactions and adjust your Wallet balance accordingly. If SheDrives cannot correct the transactions, future earnings may be adjusted until the balance is accurate. SheDrives can seek restitution through legal means if necessary.

Tax Responsibilities: Drivers are responsible for collecting and remitting all income-based taxes, including self-employment taxes. SheDrives is not accountable for any tax-related misconduct. Monthly tax summaries are available on the Platform.

Tax Credits and Deductions: Drivers should assist SheDrives in claiming or verifying any applicable tax credits, set-offs, rebates, or refunds. SheDrives may be subject to statutory taxes and fees, and drivers authorize SheDrives to deduct any applicable fees or taxes from their earnings.

License Fee: SheDrives may charge a license fee for using the Platform, detailed in the Terms of Payment. This fee is charged when the vehicle arrives at the pickup point or when contacting the Passenger before marking arrival.

Refunds to Drivers: Refunds may be available for canceled or no-show rides, including the SheDrives license fee. Refunds will be processed within 30 days of confirmation. For no-show rides, select "The passenger didn't come out" in the App.

Refunds to Passenger: If a Passenger disputes a service and a refund is issued, it will be processed on the Driver’s behalf. The Driver's Account may show a negative balance, and SheDrives may deduct the amount owed from future earnings. SheDrives may contact the Driver regarding outstanding payments.

Forfeiture Terms

Account Deletion: Accounts inactive for over 3 years may be deleted. If an account with a positive balance is deleted, drivers have 6 months to request a withdrawal of funds. Unclaimed funds after this period will be deducted in favor of SheDrives. Requests for withdrawal can be made through the Refund Policy statement on the support page.

Restricted Activities

You are prohibited from:

Commercial Exploitation: Licensing, sublicensing, selling, reselling, transferring, assigning, distributing, or otherwise commercially exploiting the Platform and/or the Software.

Intellectual Property Infringement: Using the Platform in a way that infringes on third-party rights, including intellectual property rights, by posting, distributing, or reproducing copyrighted material, trademarks, or proprietary information without consent. Removing any copyright, trademark, or proprietary notices from the Platform and/or Software is also prohibited.

Unauthorized Use: Using the Platform for any purpose not intended by these Terms.

Reverse Engineering: Reverse engineering, decompiling, disassembling, or attempting to discover or alter the source code of the Platform to build competitive products or services, except as allowed by law.

Data Scraping and Overloading: Running programs or scripts to scrape, index, survey, or collect data, or intentionally overloading or hindering the Platform’s operation or functionality.

Automated Data Retrieval: Using robots, spiders, or other manual or automatic devices to retrieve, index, "data mine," or circumvent the navigational structure or presentation of the Platform.

Unauthorized Access: Attempting to gain unauthorized access to or damage any part of the Platform or its related systems or networks.

Spam and Unsolicited Communications: Sending spam or duplicative or unsolicited communications.

Illegal Content: Sending or storing infringing, obscene, threatening, libelous, or unlawful material, including harmful content.

Reputation Damage: Taking actions that could damage SheDrives’s reputation or bring it into disrepute.

Harassment and Violence: Stalking, threatening, harassing, or carrying weapons.

Legal Violations: Violating any laws, statutes, ordinances, or regulations.

Misrepresentation: Impersonating any person or entity or misrepresenting your affiliation.

False or Misleading Information: Posting or interacting in a manner that is false, misleading, defamatory, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, or illegal.

Linking to Other Services: Linking directly or indirectly to other online services.

Discrimination: Discriminating against individuals based on race, caste, creed, religion, nationality, disability, sexual orientation, sex, marital status, gender identity, age, or any other protected characteristic.

Illegal Activities: Engaging in fraud, bribes, money laundering, terrorist financing, or other illegal activities.

Soliciting Illegal Activities: Soliciting others to engage in illegal or dangerous activities.

Platform Security: Undermining the Platform’s operations or security, attempting to gain unauthorized access, or extracting data.

Liability Creation: Creating liability for SheDrives or causing it to be regulated as a transportation carrier or taxi service provider.

Other Prohibited Conduct: Engaging in any other prohibited conduct established in SheDrives policies or terms.

Suspension or Termination of Platform Access

1. Right to Investigate and Take Action:We reserve the right to investigate any violations of these Terms or Additional Terms. We may take actions including:

Removing, blocking, hiding, or deleting User Provided Content.

Disabling your account, suspending, or terminating your access to the Platform (in whole or part).

Reporting suspected unlawful activity to law enforcement or other authorities.

If your access is terminated, limited, or suspended, you cannot register or create a new account without prior written consent from SheDrives. All licenses granted under these Terms will automatically terminate upon unauthorized use of the Platform.

2. Account Deletion:You may delete your account at any time via the app settings or by contacting user support. In some cases, we may retain certain information for purposes such as preventing fraud, ensuring user safety, complying with legal obligations, or managing unresolved claims. Refer to our Privacy Policy for information on data handling post-termination.

Accounts inactive for over 3 years may be deleted. We reserve the right to terminate or suspend access to your account at our discretion.

Cooperation with Law Enforcement

1. Investigations and Prosecutions:We have the right to investigate and prosecute violations of these Terms, including infringements of intellectual property and security issues. We may cooperate with law enforcement authorities in prosecuting users who violate these Terms.

2. Monitoring Access:While we are not obligated to monitor your use of the Platform, we may do so to ensure compliance with these Terms or to comply with legal requirements or court orders.

Third-Party Services and Content

1. Third-Party Terms:The Platform may link to or be accessed via third-party services and content. Different terms of use and privacy policies may apply. SheDrives does not endorse these third-party services and is not responsible for any products or services provided by them.

Indemnification

IndemnificationBy using the Platform, you agree to defend, indemnify, and hold SheDrives and its affiliates harmless from any claims, damages, losses, or expenses arising from:

1. Your use of the Platform in violation of these Terms.

2. Dealings with drivers and Passenger.

3. Interactions with third-party providers, partners, or sponsors.

4. Violations of any Terms, Additional Terms, or applicable laws.

5. Misuse of the Platform and/or Software.

Disclaimer of Warranties

1. No Warranties:SheDrives does not warrant the reliability, timeliness, quality, or availability of the Platform and/or the Software. Specifically:

The Platform may not be secure, uninterrupted, or error-free.

It may not meet your requirements or expectations.

Stored data may not be accurate or reliable.

The quality of any products or services obtained through the Platform may not meet your expectations.

Errors or defects in the Platform may not be corrected.

The Platform or its servers may not be free of viruses or harmful components.

2. Risk Assumption:You assume all risks associated with using the Platform and any third-party services. SheDrives is not responsible for any delays, failures, damages, or losses resulting from issues related to the internet, electronic communications, or device malfunctions.

Limitation of Liability

1. Limitation of Claims:Any claims against SheDrives will be limited to the aggregate amount you have actually paid or are due to pay while using the Platform during the event giving rise to the claim. SheDrives and its affiliates, including officers, directors, employees, agents, and licensors, will not be liable for any direct, indirect, punitive, economic, special, exemplary, incidental, consequential, or other types of damages, including but not limited to personal injury, emotional distress, and loss of data, goods, revenue, or profits.

2. Scope of Liability:SheDrives and its licensors are not liable for:

Loss, damage, or injury incurred by you or caused to any person you used the Platform for.

Loss, damage, or injury connected with the Platform and/or the Software.

Actions or omissions by Drivers, Passenger, or other users.

Inaccuracies or completeness of any advertising.

Relationships or transactions with third-party providers, advertisers, or sponsors introduced by the Platform.

3. Release of Liability:You release SheDrives from any liability, claims, or damages arising from the use of the Platform or interactions with third parties, including Drivers, advertisers, and sponsors introduced through the Platform.

4. Disputes with Third Parties:SheDrives will not be a party to disputes between you and third-party providers, including Drivers, advertisers, or sponsors. Responsibility for decisions regarding services and products offered via the Platform rests solely with you.

Agreement to Arbitrate Disputes

1. Arbitration Overview:Arbitration is a method for resolving disputes more quickly and cost-effectively than traditional court proceedings. By agreeing to arbitration, you waive your right to a trial by judge or jury. Arbitration is binding, meaning the arbitrator’s decision is final.

2. Scope of Arbitration:This Agreement covers all past, present, and future legal disputes and claims between you and SheDrives, including those related to bodily injury, personal injury, property damage, and any other issues arising out of these Terms, the Privacy Policy, Additional Terms, or your use of SheDrives’s services.

Supersession:: If any other arbitration agreement applies, this Agreement will supersede it.

Third-Party Disputes: This Agreement also covers disputes involving SheDrives’s officers, directors, employees, or affiliates if SheDrives could be indirectly liable.

Multiple Disputes: All disputes should be resolved in a single arbitration.

Emergency Relief: You or SheDrives may seek emergency or temporary injunctive relief if necessary.

Administrative Remedies: For claims requiring administrative remedies, you must exhaust those remedies before initiating arbitration.

3. No Substitution for Internal Procedures:This Agreement does not prevent you from using SheDrives’s internal procedures for resolving complaints before seeking arbitration.

4. No Retaliation:You will not be retaliated against for challenging the validity of this Agreement or filing claims with administrative agencies.

Claims in Individual Capacity Only

1. Prohibition on Class Actions:You and SheDrives agree that any disputes will be handled individually. Neither party can:

File, join, opt into, or become part of any lawsuit or court case related to a dispute.

Participate in any class, collective, representative, or aggregate lawsuit, court case, or arbitration related to a dispute.

2. No Class, Collective, Representative, or Aggregate Basis:Disputes must be brought and resolved on an individual basis only. No class, collective, representative, or aggregate proceedings are permitted.

3. Arbitrator Authority:The arbitrator cannot consolidate claims from multiple parties, nor can they preside over any class, collective, representative, or aggregate arbitration. Claims from more than one person or entity cannot be joined or consolidated.

4. Invalidity of Section III:If Section III (Class Action Waiver) is challenged, only a court of competent jurisdiction—not an arbitrator—can decide its validity.

How Arbitration Works

1. Notice of Dispute:

To initiate a dispute:

Step 1:: Submit a “Notice of Dispute” with supporting documents or information to SheDrives’s support page or by mail to UG-41 Eden Tower Gulberg 3 Lahore. The notice must include your name, address, contact information, email address, details of the dispute, and the relief you are seeking.

Step 2:: If SheDrives initiates a dispute, they will send a notice to your last known address or email. Both parties will attempt to resolve the dispute informally within 45 days of receiving the notice. If resolution isn’t reached, arbitration can be initiated.

2. Arbitration Process:

Arbitration will be the exclusive remedy for resolving disputes. You and SheDrives are waiving the right to litigate disputes in court and agreeing to resolve disputes through a neutral arbitrator.

Procedures: Procedures not addressed by the Agreement or Rules will be resolved by agreement or by the arbitrator. Statutes of limitation applicable in court will also apply in arbitration. The arbitrator’s decision is final, and the award can be enforced in any court with jurisdiction.

General Provisions

1. Enforcement:Any disputes regarding the formation, applicability, meaning, or enforceability of the Agreement are subject to arbitration.

Either party can bring a motion to compel arbitration or to dismiss any lawsuits that fall under this Agreement.

2. Complete Agreement:This Agreement constitutes the entire agreement related to dispute resolution.

3. Severability:If any part of this Agreement is deemed invalid, the rest remains valid and enforceable.

4. No Modification:This Agreement can only be modified in writing with mutual consent from both parties.

Dispute Resolution for Mass Arbitrations:Mass Arbitrations Definition: If 100 or more arbitration demands asserting similar disputes are made against SheDrives within a rolling 52-week period, SheDrives can notify you and the arbitrator, and the arbitration proceedings will be stayed while SheDrives seeks a court determination.

Court Determination: If a court determines that the arbitration demands are mass arbitrations, they will be litigated in court instead of arbitration.

Jurisdiction:If you are part of a mass arbitration, you consent to the jurisdiction of any court where SheDrives seeks a determination on mass arbitrations.

This Agreement is intended to replace the right to go to court, including the right to a jury trial and participation in class or representative actions.

Governing Law

General Governing Law:These Terms and any rights and obligations under them shall be governed by and construed in accordance with the laws of Pakistan.

This applies only to the interpretation of these Terms, not to extending any state's law if the dispute did not arise in that state.

Incident-Related Disputes:Disputes, claims, or controversies involving personal injury (including sexual assault or harassment) related to your use of the Platform shall be governed by the laws of the state where the incident or accident occurred.

General Provisions

Assignment:You cannot assign these Terms without prior written approval from SheDrives.

SheDrives can freely assign, transfer, or delegate these Terms or any of its rights and obligations.

Waiver:No waiver of any term is considered a further or continuing waiver of that term or any other term. Failure to assert a right or provision does not constitute a waiver.

Severability:If any provision is found unenforceable, it should be construed to reflect the original intent as closely as possible, while the remainder of the Terms remain in effect.

Interpretation:Section titles are for convenience and have no legal significance.

Terms are to be construed in a neutral manner, as agreed by both parties.

Survival:Terms related to dispute resolution and arbitration survive termination of your use or access to the Platform.

No Joint Venture:No joint venture, partnership, employment, or agency relationship is created by these Terms or the use of the Platform.

Communications:By providing your email and using the Platform, you consent to receive notifications and communications related to your use, including marketing and advertising.

Platform Availability:SheDrives may suspend or terminate the Platform’s availability at its discretion without advance notice or liability.

Information collected may not be fully synchronized, and SheDrives does not warrant accuracy or completeness of the Platform’s content.

App Permissions:By using the App, you consent to SheDrives accessing your device for optimization and other related activities.

You can disable certain permissions through device settings.

Platform Updates and Upgrades:You consent to automatic updates or upgrades of the Platform and acknowledge possible impacts on device functionality and stored data.

Location-Based Features:Location-based features may be used to deliver location-specific content.

You can disable location detection through device settings.

Network Access and Devices:You are responsible for obtaining network access and compatible hardware for the Platform.

SheDrives does not guarantee functionality on specific hardware or devices.

Business Transactions:Information or content obtained through the Platform may be sold or transferred in business transactions such as mergers or asset sales.

Electronic Contracting:Electronic communications satisfy legal writing requirements.

Electronic transactions or consents are treated as binding signatures.

Export Controls:Software from SheDrives may be subject to Pakistan export controls.

You are responsible for complying with all applicable trade regulations and laws.

Additional License Terms

Terms Applicable for Apple iOS

Relationship with Apple:You acknowledge that these Terms are between you and SheDrives, with Apple acting only as a third-party beneficiary.
The licenses granted are subject to the App Store Terms of Service and any third-party terms applicable to the App.

Responsibility:SheDrives, not Apple, is responsible for providing the App and its materials.
Apple is not obligated to provide maintenance or support services for the App.

Warranty:To the maximum extent permitted by law, Apple has no warranty obligations regarding the App.

Claims:SheDrives, not Apple, is responsible for addressing any claims related to the App, including product liability, regulatory compliance, and consumer protection claims.

Intellectual Property:If the App infringes on third-party intellectual property rights, Apple is not responsible for handling such claims.

Third-Party Beneficiary:Apple and its subsidiaries are third-party beneficiaries of these Terms, with the right to enforce them against you.

Compliance with Third-Party Terms:You agree to comply with any third-party terms applicable to platforms, websites, technologies, or services interacting with the App.

Real-Time Route Guidance:Use of real-time route guidance on the App is at your own risk, and location data may not be accurate.

Terms Applicable for Google Play

Support Services:Google is not responsible for providing support services for the App.

Conflict with Google Play Terms:If any terms in these Terms conflict with the Google Play Developer Distribution Agreement, Google’s agreement will apply in the event of inconsistency.
